2. Definitions

Website / Application – The online platform operated by ClientZone.

Owner / Seller – ClientZone.

User / Customer – Any natural person or legal entity purchasing or using the Services.

Service / Product – Digital content, courses, programs, memberships, or related services sold via the Website.

Creator – A third-party content creator whose digital content is licensed to ClientZone for resale.

3. Relationship Between ClientZone and Creators

ClientZone partners with independent creators to license and resell their digital products.

Creators do not sell directly to Customers via this Website.

Creators act neither as agents nor merchants of record.

All sales to Customers are made exclusively by ClientZone.

Revenue sharing or commissions paid to creators are internal commercial arrangements and do not affect the Customer’s legal relationship with ClientZone.

Nothing in these Terms creates any partnership, joint venture, agency, or employment relationship between ClientZone and any Creator.

4. Contractual Relationship With Users

By accessing or purchasing through this Website, you enter into a legally binding agreement solely with ClientZone.

ClientZone is responsible for:

Pricing and billing

VAT and applicable sales taxes

Customer support

Refunds and disputes

Chargebacks and payment processing issues

5. VAT & Taxes (IMPORTANT)

Prices displayed on the Website may include or exclude VAT, as indicated at checkout.

VAT on digital products is charged based on the Customer’s location, in accordance with applicable EU/UK VAT rules.

Where required by law, ClientZone will collect and remit VAT to the appropriate tax authority.

VAT invoices, where applicable, are issued by ClientZone.

6. Digital Content & Intellectual Property

Unless otherwise stated:

All digital products are licensed, not sold.

Intellectual property rights remain with the respective Creator or ClientZone’s licensors.

Customers receive a non-exclusive, non-transferable licence for personal use only.

7. Refunds & Right of Withdrawal (EU/UK COMPLIANT)

7.1 Statutory Withdrawal Right

If you are a consumer located in the EU or UK, you generally have a 14-day right of withdrawal.

However, for digital content not supplied on a tangible medium, this right is waived once performance has begun, provided that:

You expressly consent to the immediate supply of the digital content, and

You acknowledge that you lose your right of withdrawal.

This consent is collected at checkout.

7.2 Voluntary Money-Back Guarantee

Where expressly offered, ClientZone may provide a commercial money-back guarantee in addition to statutory rights.

Such guarantees:

Are voluntary

Are subject to the specific conditions described at checkout

Do not limit or override statutory consumer rights

8. Service Availability

ClientZone reserves the right to modify, suspend, or discontinue the Service at any time for maintenance, updates, or operational reasons.

Service interruptions due to events beyond reasonable control (force majeure) may occur.

9. Limitation of Liability

To the maximum extent permitted by law, ClientZone shall not be liable for indirect, incidental, or consequential damages arising from the use of the Service.

Nothing in these Terms limits liability where such limitation is prohibited by law.

10. Acceptable Use

Users must use the Website and Services in compliance with applicable laws and must not infringe third-party rights.

ClientZone may update these Terms from time to time. Continued use of the Website after changes constitutes acceptance of the updated Terms.

12. Governing Law & Jurisdiction

These Terms are governed by the laws of the Czech Republic.

For consumers, mandatory consumer protection laws of their country of residence remain unaffected.

Exclusive jurisdiction for disputes lies with the courts of Prague, Czech Republic, unless mandatory law provides otherwise.
